Terms of Service

1. Contracting party

These Terms of Service (“Terms”) govern the engagement of services and use of this website (the “Site”) provided by Asuncion Trade and Consulting LLC, a limited liability company formed in the State of Wyoming, United States, with registered business address at 33 N Gould Street, Sheridan, WY 82801, United States(the “Firm,” “we,” “us”).

2. Description of services

The Firm provides advisory and research services as described on the Site. Services do not include regulated legal advice, regulated tax advice, immigration services, securities or commodities trading, money transmission, or payment processing on behalf of third parties. The scope of services is further described in our Compliance & Scope statement, which forms part of these Terms.

3. Engagement process and Statement of Work

Each engagement is preceded by a written proposal and Statement of Work (“SoW”) that defines the scope, deliverables, timeline, and fees. Work commences upon mutual signature of the SoW. The SoW takes precedence over these Terms in case of a conflict on engagement-specific matters.

4. Fees, invoicing, and payment terms

Fees are denominated in US Dollars unless otherwise specified in the SoW. Invoices are payable net 14 days from the invoice date unless otherwise agreed in writing. We accept payment by bank transfer; alternative methods may be agreed in the SoW. Late payments accrue interest at 1.0% per month or the maximum rate permitted by applicable law, whichever is lower.

5. Refund and cancellation

Engagement fees are non-refundable once a Statement of Work has been executed and work has commenced. Subscription products (including monthly market-intelligence subscriptions) may be cancelled at any time and will not be billed for subsequent periods; fees already paid for the current period are not refunded.

6. Confidentiality

Each party shall treat as confidential all non-public information disclosed by the other party in the course of an engagement. Confidential information may be disclosed only to personnel and advisors with a need to know, who are bound by equivalent confidentiality obligations, or where disclosure is required by law. These obligations survive termination of the engagement.

7. Intellectual property

On full payment of fees due, the client receives a perpetual, non-transferable licence to use the deliverables produced under the SoW for the client’s internal business purposes. We retain all rights in our pre-existing methodologies, tools, and frameworks, and in any general expertise or know-how developed during the engagement that is not specific to the client.

8. Limitation of liability

To the maximum extent permitted by applicable law, our aggregate liability arising out of or in connection with an engagement is capped at the engagement fees paid in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, consequential, or punitive damages, including loss of profit, loss of business opportunity, or loss of data.

9. Disclaimer

Our deliverables represent professional advisory opinion based on the information available to us at the time of writing. They do not constitute legal, tax, immigration, or investment advice. Clients are responsible for verifying material information with appropriately licensed professionals before acting on our deliverables.

10. Governing law and dispute resolution

These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws provisions. The parties submit to the exclusive jurisdiction of the state and federal courts located in Sheridan County, Wyoming, for the resolution of any dispute, except that either party may seek injunctive relief in any court of competent jurisdiction to protect confidential information or intellectual property.

11. Use of the Site

Content on the Site is provided for general informational purposes. We endeavour to keep content accurate and current but make no warranty as to its completeness or fitness for any particular purpose. You may not use the Site or its content in a manner that violates applicable law or our published policies.

12. Changes to these Terms

We may amend these Terms by posting an updated version on the Site. The version in effect at the time an SoW is executed governs that engagement. Material changes affecting active engagements will be communicated in writing to affected clients.
